Build the action list together.
Start with the growth objectives, then bring the key commercial questions into a shared work list: earnings, customer retention, asset value, funding or a proposed exit. Agree which questions affect the transaction and what information or discussion would help resolve them.
Agree who does what.
Allocate the work between the investor, counterparties and relevant specialists. Identify where accounting, legal, tax, technical or operational input is needed. Agree responsibilities, access to information and the next discussion so work can move forward.
Bring the findings back into the deal.
Use the findings to work through changes to price, funding, ownership or other terms with the relevant parties. Keep open issues visible, agree the next action and review whether there is still a workable route toward completion.
Carry the plan through settlement and integration.
Before settlement, agree the integration priorities, who will take responsibility and what information needs to carry over. Keep the action plan active after settlement, review progress against the growth objectives and agree how emerging issues and ongoing work will be handled.
